1. Who the agreement is with
These Terms and your accepted order form an agreement between White Rock Operations, doing business as Artificial Idiots ("we," "us," or "Provider"), and the business identified in your order ("you" or "Customer"). Our contact details appear above. The person accepting must be at least 18 and authorized to purchase and accept these Terms for the Customer. Services are intended for business use. The agreement takes effect when you accept the final Terms and we accept your order. This preview itself does not create a customer agreement.
2. What you are purchasing
Your order identifies your selected agents, workspaces, included functions, fees and any expressly agreed allowances or additional charges. Only those purchased services are included. A demo, an unconnected service, a feature shown elsewhere on the website, or an agent's availability in the catalog does not expand the order.
Only Tier 1 is available for new subscription purchases at this launch. It includes up to three eligible agents and one workspace. The optional fourth eligible agent costs an additional $199 per month. Marketing, Executive Assistant and Onboarding are not available under Tier 1, including through that add-on. Tier 2 is unavailable until separately offered. Custom automation requires a separate assessment and written order. Changes or work beyond the accepted scope require a separately agreed price; we will not add undisclosed charges.
3. Prices and monthly renewal
All amounts below are in U.S. dollars. Tier 1 costs $500 once for setup plus $299 per month: $799 at checkout and $299 on each monthly renewal. With the optional fourth eligible agent, the charge is $998 at checkout and $498 on each monthly renewal. Any applicable tax must be shown before payment. The setup fee does not recur.
Subscriptions renew monthly until cancelled. Billing uses calendar months, not a fixed 30-day cycle. The checkout confirmation identifies the next billing date. You separately authorize the disclosed recurring charge to the payment method you provide. Free demos and complimentary arrangements do not become paid automatically without separate authorization. Optional purchases and price changes require the applicable disclosures and consent; agreement to this contract does not authorize unlimited charges.
4. Setup and service-start timing
We begin setup within two business days after receiving successful payment, a complete onboarding form, required permissions and account access, and any information needed to configure the purchased functions. Business days are Monday through Friday, excluding U.S. federal holidays, using Pacific Time.
Our target is to make the purchased service ready for launch within five business days after those prerequisites are complete. We will identify missing prerequisites and communicate a revised estimate if customer responses, account-provider approvals, unusual scope or other dependencies delay setup. This target is not a promise of instant activation or an unconditional completion guarantee.
We enable each purchased function after its required connections and checks are complete and the authorized customer contact approves launch. For example, calendar booking requires a connected, authorized calendar and confirmed booking settings. We will not describe unavailable functions as active.
The first subscription period begins at checkout, includes onboarding and setup support, and renews monthly from that billing date. Customer delays in providing information, connecting accounts or approving launch do not automatically stop renewal; you may cancel future renewals at any time. If a delay attributable to us extends beyond the five-business-day target, we will credit the recurring fees attributable to the delayed period. If we cannot deliver the purchased service, we will stop future renewals and refund amounts attributable to the undelivered service and setup work not performed. Mandatory legal remedies remain available.
5. Cancellation and refunds
You may cancel future renewals at any time through the online billing cancellation control supplied with your order, or by emailing Ted@artificialidiots.io. If you cannot access your account, email us. A clear cancellation request received before renewal stops that renewal even if our acknowledgment arrives later. We may reasonably verify account ownership without using verification to obstruct cancellation. We will provide confirmation you can retain.
Cancellation takes effect at the end of the current paid billing period unless an earlier termination or refund is required by law or agreed in writing. Ordinary customer cancellation does not produce a prorated refund. Setup fees and paid subscription periods are non-refundable except for the express exceptions in this agreement, refunds we approve, or refunds and remedies required by law. This does not excuse non-delivery or permit us to keep duplicate, erroneous or unauthorized charges. Report billing problems to Ted@artificialidiots.io; lawful dispute rights are not waived.
6. Suspension and termination by us
To the extent permitted by law, we may suspend or terminate services at any time, with or without cause. We will notify you before a planned termination when reasonably practicable. Immediate action may be necessary for nonpayment, unlawful use, abusive activity, security risks, breach of these Terms or loss of a required provider service. Any required notice or opportunity to remedy a breach still applies.
When we terminate your subscription, we stop future renewals. If termination is for our convenience rather than your breach, we refund prepaid recurring fees for the unused portion of the terminated period and setup fees attributable to work not performed. Other refunds remain subject to this agreement and applicable law. Suspension does not authorize indefinite billing for a service we cannot deliver. We will identify the reason, available next step and billing treatment when notifying you, where lawful and practicable.
7. Customer responsibilities and third-party costs
Provide accurate instructions, business information and authorized account access. Keep credentials secure and promptly report unauthorized access. You are responsible for permissions to use supplied content, customer information and connected accounts, and for lawful outreach, recording and communications instructions under your control. Do not use the service for unlawful, deceptive, infringing, discriminatory or abusive activity.
Your order must identify separately charged provider usage or other additional costs before you authorize them. Third-party services you purchase directly remain governed and billed under your agreements with those providers. We do not guarantee their continued availability or pricing. These responsibilities do not excuse our own legal obligations.
8. AI output and service limitations
AI can make mistakes. Review consequential decisions, business instructions and outgoing material that requires approval. The services are not emergency services and do not replace qualified legal, medical, financial or other professional advice. We do not guarantee sales, revenue, lead volume, error-free output, uninterrupted uptime or successful third-party delivery, transfers or bookings in every instance. These limitations do not cancel our obligation to deliver the functions expressly purchased or the remedies stated here.
9. Data, confidentiality and intellectual property
You retain your rights in the information and content you supply and authorize us to process it as necessary to provide the purchased services. Each party will use reasonable care to protect the other's confidential information, except for lawful disclosures and information already public, independently developed or lawfully received without confidentiality duties.
We retain our pre-existing software, templates, methods and other intellectual property. Your order identifies any additional license or source-code transfer. Payment alone does not transfer all Provider intellectual property. Third-party materials remain subject to their licenses. Use of your name or logo in our marketing requires separate permission.
Keep independent copies of important records. A specific backup or recovery guarantee applies only if expressly included in your order. Our privacy notice and any applicable data-processing agreement govern personal information; this contract does not grant unrelated data-use rights or waive required privacy or security safeguards. On termination, contact us promptly about available exports. Retention and deletion follow the disclosed privacy/retention policy and applicable law; immediate deletion or indefinite retention is not promised.
10. Warranties and liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT FOR EXPRESS COMMITMENTS IN YOUR ORDER OR THIS AGREEMENT, SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT WHERE LAWFUL.
To the fullest extent permitted by law, we exclude liability for indirect, incidental, special, consequential, exemplary and punitive damages, lost profits, revenue or business opportunities, and loss or corruption of data. Subject to the exceptions below, our aggregate liability arising from an affected order is limited to the fees you paid us under that order in the three months preceding the event giving rise to the claim.
Nothing excludes or limits liability for fraud, willful misconduct, gross negligence, violation of law or any liability or remedy that applicable law does not permit the parties to exclude or limit. The liability cap does not reduce an express refund obligation under this agreement. These provisions do not provide immunity from wrongdoing.
11. Third-party claims
To the extent permitted by law, you will indemnify us against third-party claims and reasonable resulting costs caused by your unlawful content, infringement of others' rights or unlawful instructions. This obligation does not cover claims caused by our negligence, misconduct or violation of law. We must promptly notify you of a claim, reasonably cooperate in its defense and obtain your consent before agreeing to a settlement that imposes nonmonetary obligations or an admission on you.
12. Changes and general terms
We will give required notice of material changes and price changes before they apply and obtain additional consent when required. Changes do not retroactively alter an accepted charge or existing dispute. You may cancel before a new price takes effect. A price-change notice is not permission to charge undisclosed fees.
These Terms and the accepted order are the agreement for the purchased services. A separately signed order controls an express conflict with these Terms. If a provision is unenforceable, the rest continues to the extent lawful. Failure to enforce a provision is not a waiver. Mandatory legal rights remain intact. No arbitration requirement, class-action waiver or exclusive venue is imposed by this agreement.
